TERMS & CONDITIONS

These Terms & Conditions (“Agreement”) govern your access to and use of services provided by PETALED, LLC d/b/a PETALED FITNESS (“PETALED,” “Company,” “we,” “our,” or “us”).

By accessing our website, booking services, purchasing memberships or products, participating in classes, using our facilities, or engaging with any in-person or virtual offerings, you acknowledge that you have read, understood, and agreed to this Agreement in full.

ELIGIBILITY

Services are intended for individuals 18 years of age or older unless written parental or legal guardian consent is provided.

Certain classes or services may have additional age restrictions or participation requirements at PETALED’s sole discretion.

By using our services, you represent that all information provided is accurate and truthful.

NATURE OF SERVICES

PETALED provides boutique fitness, wellness, virtual, and lifestyle services including, but not limited to, Pilates, Springboard Pilates, yoga, cycling, strength training, personal training, group fitness classes, livestream services, wellness programming, apparel, and merchandise.

All services are intended solely for general fitness and wellness purposes and do not constitute medical advice, diagnosis, or treatment.

While PETALED may utilize certified instructors, trainers, or fitness professionals, certifications, licenses, credentials, or training designations may change, expire, lapse, or vary over time and do not constitute a guarantee of safety, results, medical supervision, or injury prevention.

CHANGES TO SERVICES

PETALED reserves the right to modify, suspend, discontinue, or update any services, schedules, memberships, instructors, pricing, programming, studio policies, virtual offerings, or business operations at any time without prior notice.

Continued use of services constitutes acceptance of any updates or modifications.

MEMBER CONDUCT

Participants agree to:

• Follow all safety instructions and studio policies

• Respect instructors, staff, participants, and property

• Use equipment responsibly and safely

• Refrain from disruptive, abusive, unsafe, unlawful, discriminatory, or inappropriate conduct

PETALED reserves the right to refuse service, remove participants, suspend memberships, cancel bookings, or terminate accounts at its sole discretion.

CLASS RESERVATIONS, CANCELLATIONS, WAITLISTS & LATE ARRIVALS

All bookings are subject to availability.

Clients are solely responsible for managing reservations, waitlists, and cancellations through PETALED’s approved booking platform, app, website, or official scheduling method.

Cancellations submitted through social media messages, text messages, email, voicemail, or unofficial communication channels may not be accepted.

Late cancellations, missed sessions, no-shows, or repeated booking abuse may result in:

• forfeited sessions or credits

• late cancellation fees

• no-show fees

• temporary or permanent booking restrictions

If a client is added to class from a waitlist, the client remains responsible for canceling within the applicable cancellation policy.

Late arrivals may not be permitted once class has begun for safety and class-flow purposes. Entry after the designated grace period is not guaranteed.

PETALED reserves the right to cancel, modify, reschedule, substitute instructors, or change class formats at any time.

MEMBERSHIPS & CLASS PACKAGES

Memberships, packages, promotions, and credits:

• are non-transferable

• are non-refundable unless otherwise required by law

• may expire according to purchase terms

• may automatically renew unless canceled pursuant to membership terms

Failure to maintain an active membership, recurring payment method, or compliance with policies may result in suspension or termination of membership benefits or promotional pricing.

BILLING, PAYMENT & CARD AUTHORIZATION

By purchasing services or products, you authorize PETALED and its third-party payment processors to securely charge your selected payment method.

You agree that:

• all payments are due at the time of purchase unless otherwise stated

• taxes and processing fees may apply

• failed or declined payments may result in suspension of services

• PETALED may charge the card on file for memberships, class purchases, retail purchases, late cancellation fees, no-show fees, unpaid balances, and other authorized charges

Unauthorized chargebacks or payment disputes may result in collections activity, suspension of services, account termination, and recovery of associated costs or fees.

THIRD-PARTY PLATFORMS & SERVICES

PETALED may utilize third-party providers for:

• scheduling and booking

• payment processing

• livestream and virtual services

• website hosting

• analytics and advertising

• communication systems

• customer management software

• email and marketing services

These providers operate independently and maintain separate terms, privacy policies, and security standards.

PETALED is not responsible for outages, interruptions, delays, platform failures, data breaches, service errors, or third-party performance issues.

Your use of third-party systems is at your own risk and subject to their respective policies and terms.

HEALTH DISCLAIMER, WAIVER & ASSUMPTION OF RISK

Participation in physical activity carries inherent risks including, but not limited to:

• muscle strain

• falls

• equipment-related injuries

• dizziness

• illness

• overexertion

• heart complications

• serious bodily injury

• permanent disability

• death

By participating in any services provided by PETALED, whether in-person or virtual, you voluntarily assume all risks associated with participation.

You acknowledge and agree that:

• you are physically capable of participating

• you should consult a licensed physician before participation

• you are responsible for monitoring your own physical condition

• you may stop participation at any time

Classes may involve loud music, dim lighting, physical exertion, resistance training, Pilates apparatus, bodyweight movement, cycling equipment, heated or non-heated environments, and varying levels of intensity.

You agree to notify instructors prior to participation regarding injuries, pregnancy, medical conditions, sensitivities, or physical limitations.

To the fullest extent permitted by law, you release and discharge PETALED, LLC d/b/a PETALED FITNESS, including its owners, employees, instructors, contractors, affiliates, agents, successors, and representatives, from any and all claims, liabilities, damages, injuries, losses, expenses, or causes of action arising from participation in services, use of equipment, virtual participation, or presence on the premises.

You authorize emergency medical treatment if deemed necessary and accept full financial responsibility for associated costs.

No guarantees are made regarding fitness outcomes, weight loss, health improvements, physical appearance, or performance results.

VIRTUAL, DIGITAL & ON-DEMAND SERVICES

Participation in livestream, virtual, or digital services requires compatible equipment, internet access, and platform functionality.

PETALED is not responsible for:

• internet interruptions

• audio or video disruptions

• platform outages

• connectivity failures

• software errors

• device malfunctions

• third-party service interruptions

Virtual participants are responsible for maintaining a safe workout environment.

APPAREL, MERCHANDISE & PRODUCTS

PETALED may offer apparel, accessories, equipment, and merchandise for purchase.

Unless otherwise stated:

• all sales are final

• eligible returns or exchanges must be unused and in original condition

• sizing and product selection are the customer’s responsibility

PETALED is not responsible for misuse, allergic reactions, improper use, damages, or dissatisfaction arising from purchased products.

PERSONAL BELONGINGS

PETALED is not responsible for lost, stolen, damaged, or misplaced personal property.

All personal belongings brought onto studio premises are brought at the participant’s sole risk.

INTELLECTUAL PROPERTY

All trademarks, branding, logos, graphics, text, content, videos, photographs, programming, class concepts, materials, and media associated with PETALED are the exclusive property of PETALED and may not be copied, reproduced, distributed, modified, recorded, or used without prior written consent.

Unauthorized recording or redistribution of classes, livestreams, or content is prohibited.

MEDIA RELEASE & USER CONTENT

PETALED may photograph, record, livestream, or film classes, events, studio activities, or promotional content.

By participating in services or submitting content, you grant PETALED a perpetual, worldwide, royalty-free right and license to use your image, likeness, voice, appearance, reviews, testimonials, tags, social media content, photographs, videos, or submitted materials for marketing, advertising, educational, promotional, and business purposes without compensation.

If you do not wish to appear in recorded content, you must notify PETALED prior to participation.

WEBSITE, EXTERNAL LINKS & INFORMATION DISCLAIMER

PETALED’s website, booking platforms, mobile features, emails, and social media content are provided for general informational and business purposes only.

PETALED makes no guarantees regarding accuracy, completeness, reliability, availability, or uninterrupted access to any website, platform, content, or service.

Third-party links, products, services, advertisements, or external websites may be accessible through PETALED platforms. PETALED is not responsible for third-party content, policies, transactions, security, availability, or practices.

TESTIMONIALS & RESULTS DISCLAIMER

Testimonials, reviews, before-and-after content, photographs, videos, or client experiences reflect individual experiences only.

Results vary by individual. PETALED makes no guarantees regarding weight loss, body composition changes, health improvements, fitness outcomes, or performance results.

DISCLAIMER OF WARRANTIES

All services, products, platforms, content, and materials are provided “AS IS” and “AS AVAILABLE.”

PETALED disclaims all warranties, express or implied, including but not limited to:

• merchantability

• fitness for a particular purpose

• uninterrupted access

• platform reliability

• accuracy of information

• non-infringement

• availability of services

LIMITATION OF LIABILITY

To the fullest extent permitted by law, PETALED shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from use of services, products, facilities, content, or participation in activities.

Total liability for any claim shall not exceed the amount paid by you to PETALED during the three (3) months preceding the event giving rise to liability.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless PETALED and its owners, employees, instructors, contractors, affiliates, representatives, successors, and agents from any claims, damages, liabilities, losses, costs, or legal expenses arising from participation in services or violation of this Agreement.

GOVERNING LAW & ARBITRATION

This Agreement shall be governed by the laws of the State of New Jersey.

Any dispute arising from this Agreement or participation in services shall first be attempted to be resolved informally.

If unresolved, disputes shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) in the State of New Jersey.

You waive:

• the right to sue in court

• the right to a jury trial

• participation in class or collective actions

SEVERABILITY

If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.

BY PARTICIPATING IN SERVICES PROVIDED BY PETALED, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND VOLUNTARILY AGREED TO THESE TERMS, INCLUDING THE WAIVER OF LIABILITY, ASSUMPTION OF RISK, AND ARBITRATION PROVISIONS CONTAINED HEREIN.
